CPA Toolkit – Terms and Conditions

Welcome to CPA Toolkit (the “Service”), an online software platform designed to assist Certified Public Accountants (CPAs) and CPA firms with internal workflow management, staff and affiliate coordination, client information gathering, encrypted document storage, and customer relationship management (CRM).

1. Acceptance of Terms

By registering for an account, clicking an acceptance checkbox, executing an order form, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Data Processing Addendum, and Incident Response Addendum (collectively, the “Agreement”), all of which are incorporated herein by reference.

If you are using the Service on behalf of a firm or organization, you represent and warrant that you have full authority to bind that organization to these Terms.

2. Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into a binding contract to use the Service.

The Service is intended solely for use by licensed Certified Public Accountants or authorized employees, contractors, or representatives of CPA firms.

You represent and warrant that your use of the Service complies with all applicable laws, professional standards, and regulatory obligations.

3. Account Registration and Security

To access the Service, you must create an account and provide accurate, current, and complete information.

Sensitive Data Handling. Certain sensitive fields (including Social Security Numbers and dates of birth) are encrypted at rest and in transit using industry-standard methods. Encryption reduces risk but does not eliminate all security risks, and no system can be guaranteed to be completely secure.

Payment Data. CPA Toolkit does not store or process credit card information. Payment processing is handled exclusively by third-party payment providers.

We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect data processed through the Service.

You acknowledge and agree that no system is completely secure, use of the Service is at your own risk, and you are responsible for implementing additional safeguards appropriate to your operations.

Details regarding our data practices are provided in our Privacy Policy. The Service does not fall under PCI-DSS compliance requirements.

Additional terms governing data processing and security incident handling are set forth in the Data Processing Addendum and Incident Response Addendum, which are incorporated into these Terms by reference.

The procedures, scope, exclusions, and limitations applicable to Security Incidents are governed exclusively by the Incident Response Addendum.

5A. Data Ownership and Regulatory Roles

With respect to all taxpayer, client, or personal data processed through the Service:

CPA Toolkit does not determine the purposes or means of processing User Content and assumes no responsibility for the legality or regulatory sufficiency of User Content.

5B. Security Incidents

In the event of a confirmed security incident affecting the Service, CPA Toolkit will notify you within a commercially reasonable timeframe after discovery. You are solely responsible for determining and executing any legally required notifications to individuals, regulators, taxing authorities, or professional bodies, unless otherwise required by law.

CPA Toolkit shall not be liable for penalties, fines, remediation costs, or damages arising from compromised credentials, user error or misconfiguration, third-party access, or actions outside CPA Toolkit’s reasonable control.

6. Intellectual Property

The Service, including all software, databases, interfaces, workflows, and content (excluding User Content), is owned by CPA Toolkit or its licensors and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for internal business purposes.

You retain ownership of User Content. By uploading User Content, you grant CPA Toolkit a worldwide, royalty-free license to host, store, process, and transmit such content solely to provide the Service.

7. Prohibited Conduct

You may not:

8. Termination

CPA Toolkit may suspend or terminate access to the Service at any time, with or without notice, for any reason.

Upon termination, your license to use the Service immediately ends. CPA Toolkit may delete User Content after a reasonable period unless legally required to retain it. Termination does not relieve you of obligations accrued prior to termination.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CPA TOOLKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED.

You acknowledge that outputs, workflows, reminders, or stored data within the Service are informational only and must be independently reviewed and verified prior to reliance.

9A. No Professional, Fiduciary, or Compliance Services

CPA Toolkit provides technology only and does not provide accounting, tax, legal, compliance, or fiduciary services.

CPA Toolkit does not:

You remain solely responsible for professional judgment, filings, deadlines, and compliance obligations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPA TOOLKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION.

CPA TOOLKIT’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF (A) USD $100.00 OR (B) AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations; in such cases, liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless CPA Toolkit from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Service, your User Content, or your violation of laws or third-party rights.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any legal action shall be brought exclusively in state or federal courts located in Delaware, and you waive the right to a jury trial and to participate in any class action.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms.

You may not use the Service in violation of U.S. export control or sanctions laws, including OFAC regulations. The Service may not be used in embargoed jurisdictions or by restricted persons.
